Terms & Conditions

1. Business Operations

Business Hours: 9:00 AM – 6:00 PM MST (Mountain Standard Time)

Late Payment: Invoices not paid within 30 days will accrue interest at 2% monthly (24% annually).

Unresponsive Clients: If a client is unresponsive for 10+ business days, we reserve the right to invoice for work completed to date and suspend services until communication is re-established.

2. Client Responsibilities

  • • Provide all project content (text, copy) electronically in editable formats
  • • Supply required images, graphics, and media assets unless contracted otherwise
  • • Designate a single point of contact with final decision-making authority
  • • Respond to requests for information within reasonable timeframes
  • • Provide timely feedback on deliverables and revisions

3. Marketing & Publicity Rights

Both 23Suite Media LLC and the client may publicize the business relationship and project results through:

  • • Press releases and industry announcements
  • • Case studies and portfolio examples
  • • Normal marketing collateral and promotional materials

These rights are subject to any confidentiality agreements (NDAs) in place between the parties.

4. Ownership & Copyright

All work performed by 23Suite Media LLC is classified as "work made for hire" under U.S. Copyright Law.

Rights Retention: 23Suite Media retains all rights to work products until final payment is received in full.

Ownership Transfer: Upon receipt of final payment, full ownership and copyright of all deliverables transfer to the client.

5. Cancellation Policies

Standard Projects

Clients may cancel projects at any time. Upon cancellation, an invoice will be generated for all time and expenses incurred through the cancellation date.

Video/Photo Shoots & Major Meetings

Cancellations require 7 days notice. Cancellations with less than 7 days notice will incur:

  • • Up to 50% of the shoot/meeting cost
  • • 100% of preparation expenses already incurred

Retainer Agreements

Retainers require 15 days written notice before the beginning of the month in which cancellation is to take effect. Retainer agreements automatically cancel after 30 days of non-payment.

6. Project Delivery & Timelines

Delivery timelines are based on current schedule availability and project complexity. While we strive to meet all agreed-upon deadlines, timelines are estimates and not guarantees unless explicitly stated in writing.

Delays caused by client feedback cycles, asset delivery, or scope changes may result in timeline adjustments.

7. Estimates & Proposals

All project estimates and proposals are valid for 15 days from the date of issue. After this period, estimates may be adjusted to reflect current market rates, resource availability, or scope changes.

8. Dispute Resolution

Any disputes arising from services provided by 23Suite Media LLC shall be resolved through binding arbitration in Albuquerque, New Mexico, in accordance with the laws of the State of New Mexico.

Both parties agree to make good faith efforts to resolve disputes informally before pursuing formal arbitration.

9. Limitation of Liability

23Suite Media LLC's liability for any claim arising from services provided shall not exceed the total amount paid by the client for the specific project in question.

We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or business interruption.

10. Service Modifications

23Suite Media LLC reserves the right to modify these terms at any time. Material changes will be communicated to active clients with reasonable notice. Continued use of services after modifications constitutes acceptance of updated terms.
